1. Acceptance of terms

By creating an account and using ATCMS, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service. These terms apply to all users of ATCMS including free and paid plan users.

ATCMS is operated by Stipulo AI Ltd, a company registered in England and Wales (Company No. 17272510). Our registered office is 128 City Road, London, EC1V 2NX, United Kingdom. We are registered with the Information Commissioner's Office (ICO) under registration number ZC171429.

2. Description of service

ATCMS is an AI-powered tender & contract analysis platform that allows users to upload contracts, extract clauses, assess risk, compare against baselines, track obligations, evaluate vendors, and receive negotiation guidance. The service is provided on a SaaS basis accessible via web browser.

3. AI disclaimer

Important: AI outputs are advisory only

ATCMS uses artificial intelligence to analyse contracts. AI analysis may contain errors, omissions, or inaccuracies. The outputs of ATCMS are provided for informational purposes only and do not constitute legal advice. You should always consult a qualified legal professional before making decisions based on AI analysis. ATCMS accepts no liability for decisions made based on AI-generated content.

4. Account registration

  • You must provide accurate and complete information when registering
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorised access to your account
  • One account per company — you may not share accounts between organisations
  • You must be at least 18 years old to create an account

5. Plan limits and fair use

Free trial: Full Pro access for 14 days — 15 contracts, 3 active tenders, 3 users. No credit card required. After the trial period, the account reverts to read-only access until a paid plan is selected.

Pro plan (£59/month): 15 contracts per month, 3 active tenders. Includes all AI features: AI Negotiation Coach, Counter-Proposal Generator, Clause Playbook Builder, baseline deviation scoring, and tender management.

Business plan (£299/month): Unlimited contracts, unlimited tenders, unlimited team members. Includes everything in Pro plus REST API access, API key management, priority support, and custom reply-to email.

Enterprise: Custom pricing. Includes everything in Business plus white-label branding, SSO/SAML integration, dedicated instance, custom AI model training, SLA guarantee, and named support contact. Contact us for pricing.

Automated or programmatic bulk uploading without prior written consent is prohibited. We reserve the right to contact Business plan users whose usage significantly exceeds reasonable business use.

6. Acceptable use

You may not use ATCMS to:

  • Upload content that is illegal, harmful, or violates third-party rights
  • Attempt to reverse engineer, scrape, or extract our AI models or prompts
  • Share your account credentials with others outside your organisation
  • Use the service to train competing AI models
  • Circumvent plan limits through multiple account creation
  • Upload documents containing malicious code or content

7. Your data and intellectual property

Your content: You retain full ownership of all documents and data you upload to ATCMS. By uploading content, you grant us a limited licence to process it solely for the purpose of providing the service.

Our content: The ATCMS platform, including its design, code, and AI prompts, is our intellectual property. You may not copy, reproduce, or distribute any part of the platform.

AI outputs: Analysis reports, clause extractions, and other AI-generated outputs based on your documents are yours to use freely.

8. Limitation of liability

To the maximum extent permitted by applicable law, ATCMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total aggregate liability to you shall not exceed the fees paid by you in the 12 months preceding the claim, or £100, whichever is greater. This limitation applies regardless of the cause of action.

9. Service availability

We aim to provide a reliable service but do not guarantee 100% uptime. The service is provided "as is" without warranty of any kind. We may perform maintenance that temporarily makes the service unavailable, with advance notice where possible. We reserve the right to modify or discontinue features with reasonable notice.

10. Termination

By you: You may close your account at any time. All your data will be deleted within 30 days.

By us: We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on severity.

Effect of termination: Upon termination, your right to use the service ceases immediately. Data deletion follows the schedule in our Privacy Policy.

11. Refunds and cancellations

14-day satisfaction guarantee

If you are not satisfied with ATCMS within 14 days of your first paid subscription, contact us at hello@stipuloai.com for a full refund — no questions asked.

Cancellation: You may cancel your subscription at any time via the billing portal. You will retain access to your paid plan features until the end of your current billing period.

Refunds after 14 days: After the 14-day guarantee period, subscription payments are non-refundable. Cancellation stops future charges but does not generate a refund for the current period.

Annual subscriptions: Annual plan payments are non-refundable after 14 days. If you cancel an annual plan, you retain access until the annual period ends.

Refund processing: Approved refunds are processed within 5-7 business days to your original payment method. Contact hello@stipuloai.com to request a refund.

Data on cancellation: Your data is retained for 30 days after cancellation. You may export your data at any time before deletion.

12. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. ATCMS is operated by Stipulo AI Ltd, a company registered in England and Wales.

13. Changes to terms

We may update these terms from time to time. We will notify registered users of material changes by email with at least 14 days notice. Continued use of the service after the effective date of changes constitutes acceptance.
